Case Studies: Liberty International Acquisition Company Who we are
     

On behalf of a major US investment corporation, FD Solutions were requested to assist in the preparation of IFRS-compliant financial statements for Liberty, a Special Purpose Acquisition Company (“SPAC”) which was due to list on the Euronext stock exchange in Amsterdam to raise €600m.

Having prepared the IFRS financials, we further assisted the client in regard to the proper characterisation and valuation of the warrants and their disclosure in the financial statements and accompanying offering memorandum. This necessitated in-depth liaison with the UK auditors in London and lawyers based in New York.

Working under a tight timescale, Julian Seidman handled the assignment and a positive result was achieved for all parties concerned, with a successful listing achieved in February 2008.

Julian qualified with Grant Thornton and his six years there included a spell in its corporate investigations department. Subsequently he became Finance Director at Queensway Securities, a role that included the flotation of part of the group.
